Welcome to ExDFS. This document contains all seller-related policies and agreements that govern your use of the ExDFS marketplace as a seller. By registering as a seller on ExDFS, you agree to all terms outlined below.

1. Seller Agreement

Introduction

Welcome to ExDFS.

This Seller Agreement governs the relationship between ExDFS (“Platform”, “we”, “our”, or “us”) and any individual or organization that registers as a seller on the ExDFS marketplace (“Seller”, “you”, or “your”).

By registering as a seller, uploading products, or using seller-related services on ExDFS, you agree to be bound by this Seller Agreement and all related marketplace policies.

If you do not agree with these terms, you may not use ExDFS as a seller.

Eligibility

To become a seller on ExDFS, you must:

Be at least 18 years of age.
Provide accurate and complete registration information.
Maintain valid contact information.
Have the legal authority to enter into this agreement.
Comply with all applicable laws and regulations in your jurisdiction.

ExDFS reserves the right to refuse, suspend, or terminate seller accounts at its discretion.

Seller Account Responsibilities

Sellers are responsible for:

Maintaining accurate account information.
Protecting account credentials.
Keeping payout information current.
Ensuring the security of their account.
Monitoring account activity.

You are responsible for all activity occurring under your account.

Ownership of Content

Sellers retain ownership of their original products and intellectual property.

By uploading content to ExDFS, you grant ExDFS a non-exclusive, worldwide license to:

Display products and product previews.
Market and promote products.
Process sales transactions.
Deliver products to customers.
Use product images, descriptions, and promotional materials for marketplace operations.

This license remains in effect while the product is listed on the platform.

Intellectual Property and Copyright

You represent and warrant that:

You own the products you upload; or
You possess all necessary licenses, permissions, and rights to distribute them.

You may not upload content that:

Violates copyrights.
Infringes trademarks.
Violates intellectual property rights.
Misappropriates third-party content.

The seller assumes full legal responsibility for all uploaded content.

ExDFS accepts no liability for copyright violations committed by sellers.

Prohibited Products and Conduct

Sellers may not upload, distribute, or promote content that:

Violates applicable laws.
Contains malware, viruses, or harmful code.
Infringes intellectual property rights.
Promotes fraud or deception.
Contains hateful, violent, or extremist material.
Includes sexually explicit content.
Violates the ExDFS Content Review Policy.

ExDFS reserves the right to remove prohibited content without prior notice.

Product Review and Approval

All submitted products may be reviewed before publication.

ExDFS reserves the right to:

Approve or reject products.
Request modifications.
Suspend listings.
Remove products at any time.
Conduct quality reviews.

Approval of a product does not constitute a guarantee of compliance or legality.

The seller remains fully responsible for the product at all times.

Product Listings and Submission Fees

At the time of publication of this Agreement:

Seller registration is free.
Product submission is free.
No listing fees are charged for uploading products.

ExDFS currently generates revenue through marketplace commissions as outlined in the Seller Commission Policy.

ExDFS reserves the right to introduce additional services, premium features, or seller fees in the future with reasonable notice.

Commissions

Marketplace commissions are governed by the Seller Commission Policy.

By using ExDFS, sellers agree to the commission structure and promotional programs in effect at the time of sale.

Current commission rates, promotional periods, and commission tiers are described in the Seller Commission Policy.

Payments and Withdrawals

Seller earnings, payout eligibility, withdrawal procedures, minimum withdrawal thresholds, and payout schedules are governed by the Seller Payout Policy.

Sellers are responsible for providing accurate payout information.

ExDFS is not responsible for losses resulting from incorrect wallet addresses or payment information submitted by sellers.

Refunds and Disputes

Refund requests are handled in accordance with the ExDFS Refund Policy.

Sellers agree to cooperate with refund investigations and customer support inquiries when requested.

ExDFS reserves the right to make final decisions regarding marketplace disputes and refund cases.

Taxes

Sellers are solely responsible for:

Reporting income.
Paying taxes.
Complying with local tax regulations.
Meeting business registration requirements.

ExDFS does not provide tax, accounting, or legal advice.

Account Suspension and Termination

ExDFS may suspend, restrict, or terminate a seller account if:

Marketplace policies are violated.
Fraudulent activity is detected.
Copyright complaints are received.
False information is provided.
The seller engages in conduct harmful to the platform or its users.

ExDFS may remove products, suspend withdrawals, or restrict account access during investigations.

Limitation of Liability

ExDFS provides the marketplace on an “as-is” and “as-available” basis.

ExDFS does not guarantee:

Sales volume.
Marketplace visibility.
Product performance.
Revenue generation.
Business success.

To the maximum extent permitted by law, ExDFS shall not be liable for indirect, incidental, consequential, or special damages arising from the use of the platform.

Indemnification

Sellers agree to indemnify and hold harmless ExDFS, its owners, administrators, employees, and partners from any claims, damages, liabilities, losses, or expenses arising from:

Uploaded content.
Copyright violations.
Intellectual property disputes.
Misrepresentations.
Violations of applicable laws.

Policy Updates

ExDFS reserves the right to modify this Agreement at any time.

Updated versions will be published on the website.

Continued use of the platform after updates become effective constitutes acceptance of the revised Agreement.

2. Commission Policy

Overview

Welcome to ExDFS, a global marketplace for digital products.

This Commission Policy explains how seller commissions, earnings, withdrawals, and payout rules are calculated and managed on the ExDFS platform.

By registering as a seller on ExDFS, you agree to the terms described in this policy.

🎉 Founding Seller Promotion

To support new sellers and encourage marketplace growth, ExDFS offers a special introductory commission program.

First 30 Days

For the first 30 days after seller account approval:

ExDFS charges 0% commission
Sellers keep 100% of their sales revenue
No marketplace commission is deducted

This promotional period begins on the date the seller account is approved by ExDFS.

ExDFS reserves the right to modify or discontinue this promotion for future sellers at any time.

Standard Commission Structure

After the initial 30-day promotional period, seller commissions are calculated based on monthly gross sales volume.

Commission Calculation

Commissions are calculated based on the total gross sales generated during each calendar month.

Example:

Monthly sales: $2,500
Seller Level: Silver
Commission Rate: 20%
Commission Deducted: $500
Seller Earnings: $2,000

Seller Wallet

After each successful sale:

The applicable commission is deducted automatically.
The seller’s earnings are credited to their ExDFS Seller Wallet.
Wallet balances are available within the seller dashboard.

Sellers can track:

Total earnings
Pending earnings
Available balance
Withdrawal history

Pending Earnings Period

To protect buyers and sellers, newly earned funds may remain in a pending status for a review period.

During this period:

Orders may be reviewed
Refund requests may be investigated
Fraud prevention checks may be performed

Once the review period ends, funds become available for withdrawal.

Withdrawals

Sellers may request a payout once their available wallet balance reaches the minimum withdrawal threshold.

Minimum Withdrawal Amount

$100 USD

Withdrawal requests below this amount will not be processed.

Withdrawal Method

At this time, ExDFS supports payouts via cryptocurrency wallets.

Supported payout methods may include:

USDT (TRC20)
USDT (BEP20)

Additional payout methods may be introduced in the future.

Sellers are responsible for providing accurate wallet information.
ExDFS is not responsible for payments sent to incorrect wallet addresses provided by the seller.

Withdrawal Requests

Withdrawals are not processed automatically. Sellers must:

Log into their Seller Dashboard
Open the Withdrawal section
Submit a withdrawal request

ExDFS will review and process approved withdrawal requests within a reasonable timeframe.

Fraud Prevention

ExDFS reserves the right to:

Delay payouts
Suspend withdrawals
Investigate suspicious activity
Hold funds related to disputed transactions
Remove fraudulent accounts

until all investigations are completed.

Taxes and Legal Responsibility

Sellers are solely responsible for:

Tax reporting
Tax payments
Compliance with local laws
Business registration requirements in their jurisdiction

ExDFS does not provide tax advice.

Policy Changes

ExDFS may update this Commission Policy from time to time.

Material changes will be announced through the website or seller dashboard.

Continued use of the platform constitutes acceptance of the updated policy.

3. Content Review Policy

Overview

ExDFS is a global marketplace for digital products.

To maintain quality, protect intellectual property rights, and ensure a safe experience for buyers and sellers, all products submitted to ExDFS are subject to review.

This Content Review Policy explains what content is allowed, prohibited, and how the review process works.

By uploading products to ExDFS, sellers agree to comply with this policy.

Content Review Process

All submitted products may be reviewed before publication.

ExDFS reserves the right to:

Approve content
Reject content
Request modifications
Remove published products
Suspend seller accounts for policy violations

Approval of a product does not transfer legal responsibility from the seller to ExDFS.
The seller remains fully responsible for all uploaded content.

🚫 Prohibited Content

The following content is strictly prohibited.

Copyright Infringement

Content that violates copyrights, trademarks, or intellectual property rights, including:

Pirated books
Unauthorized PDFs
Cracked software
Stolen templates
Re-uploaded marketplace products
Content copied from other websites

Illegal Content

Content that violates applicable laws, including:

Fraudulent materials
Criminal activity guides
Illegal services
Counterfeit materials

Harmful or Malicious Content

Including:

Malware
Viruses
Spyware
Malicious scripts
Harmful software

Adult Content

ExDFS does not permit:

Pornographic content
Explicit sexual content
Adult entertainment products

Hate or Violent Content

Content that promotes:

Violence
Terrorism
Extremism
Harassment
Hate speech

Misleading Products

Products that:

Contain false claims
Promise unrealistic results
Misrepresent product functionality
Mislead buyers

AI-Generated Content

AI-generated products are permitted if:

The seller has the legal right to distribute them.
The content does not infringe intellectual property rights.
The content provides genuine value to buyers.

ExDFS may request additional information regarding the creation process of AI-generated products.

Product Quality Standards

Products should:

Match their descriptions
Include accurate previews
Be functional and accessible
Deliver the promised content
Maintain professional quality

Products with excessive errors, broken files, or misleading descriptions may be rejected.

Product Removal

ExDFS may remove products at any time if:

Policy violations are discovered
Copyright complaints are received
Legal concerns arise
Product quality falls below marketplace standards

Removal decisions are made at the sole discretion of ExDFS.

Repeat Violations

Repeated violations may result in:

Product removal
Account suspension
Permanent seller termination
Withholding of pending payouts where legally permitted

Reporting Violations

ExDFS will investigate all legitimate reports and may temporarily disable access to disputed products during review.

Policy Updates

ExDFS reserves the right to modify this policy at any time.

Updated versions will be published on the website.

Continued use of the platform constitutes acceptance of the revised policy.

4. Seller Payout Policy

Effective Date: June 2026

Overview

This Seller Payout Policy explains how seller earnings, wallet balances, withdrawal requests, and payouts are processed on the ExDFS marketplace.

By registering as a seller and using the ExDFS platform, you agree to the terms outlined in this policy.

Seller Earnings

When a product is successfully sold on ExDFS:

The applicable marketplace commission is automatically deducted.
The remaining amount is credited to the seller’s wallet.
Earnings are initially placed in a pending balance for security and verification purposes.

Only available balances may be withdrawn.

Seller Wallet

Every approved seller receives access to a Seller Wallet within the Seller Dashboard.

The wallet displays:

Total Earnings
Pending Balance
Available Balance
Withdrawal History
Payout Status

Sellers are responsible for maintaining accurate payout information at all times.

Pending Balance & Security Review Period

To protect buyers, sellers, and the marketplace from fraud, disputes, chargebacks, and unauthorized activity, all seller earnings remain in a pending status for a review period.

Pending Period

All earnings remain pending for 7 calendar days before becoming available for withdrawal.

During this period, ExDFS may:

Verify transactions
Review refund requests
Investigate suspicious activity
Confirm successful delivery of digital products
Conduct fraud-prevention checks

Once the review period has expired and no issues are identified, funds will automatically move from the Pending Balance to the Available Balance.

Minimum Withdrawal Requirement

To maintain efficient payout processing and reduce transaction costs, sellers must meet the minimum withdrawal threshold.

Minimum Withdrawal Amount

$100 USD

Withdrawal requests below this amount cannot be submitted.

Balances below the minimum threshold will remain available in the seller wallet until the minimum withdrawal amount is reached.

Withdrawal Requests

Withdrawals are not processed automatically.

To receive payment, sellers must:

Log into their Seller Dashboard.
Open the Withdrawal section.
Submit a withdrawal request.
Wait for review and processing by ExDFS.

ExDFS reserves the right to review all withdrawal requests before releasing funds.

Withdrawal Processing Time

Approved withdrawal requests are typically processed within:

3–7 Business Days

Processing times may vary depending on:

Security reviews
Account verification requirements
Platform workload
Technical issues
Public holidays
Compliance checks

ExDFS does not guarantee instant payouts.

Supported Payout Methods

ExDFS currently supports cryptocurrency payouts.

Supported payout methods may include:

USDT (TRC20)
USDT (BEP20)

Additional payout methods may be added in the future.

The currently available payout options will always be displayed in the Seller Dashboard.

Seller Wallet Address Responsibility

Sellers are solely responsible for providing accurate payout information.

This includes:

Wallet addresses
Blockchain network selection
Payment details

Payments sent to incorrect wallet addresses provided by the seller cannot be reversed.

ExDFS is not responsible for losses resulting from inaccurate payout information supplied by sellers.

Payout Approval and Security Controls

For security and fraud prevention purposes, ExDFS may:

Review withdrawal requests manually
Request additional account verification
Delay processing where necessary
Place temporary holds on funds
Reject suspicious withdrawal requests

These measures help protect both sellers and the marketplace.

Payout Holds and Delays

ExDFS reserves the right to temporarily delay, suspend, or hold payouts in situations including:

Active refund requests
Copyright disputes
Fraud investigations
Policy violations
Suspicious account activity
Legal or regulatory compliance requirements

Funds may remain on hold until the matter has been fully resolved.

Taxes and Compliance

Sellers are solely responsible for:

Tax reporting
Tax payments
Business registration requirements
Compliance with local laws and regulations

ExDFS does not provide legal, accounting, or tax advice.

Account Suspension

If a seller account is suspended, restricted, or terminated, ExDFS may:

Delay pending withdrawals
Review account activity
Hold disputed funds
Release eligible balances after investigation where appropriate

ExDFS reserves the right to take any action necessary to protect buyers, sellers, and the platform.

Fraud Prevention

ExDFS actively monitors transactions and seller activity.

Attempts to manipulate sales, abuse refund systems, create fraudulent orders, or circumvent marketplace policies may result in:

Product removal
Account suspension
Permanent account termination
Withdrawal restrictions
Legal action where applicable

Future Improvements

ExDFS may introduce additional payout automation, payment methods, or withdrawal features in the future.

Any such changes will be announced through the Seller Dashboard or official platform communications.
